1. Scope of services
Pixel Ninja provides services focused on maintaining a clean, accurate and professional online presence, including:
Website creation, upkeep and content accuracy
Basic upkeep and hygiene of the client’s Google Business Profile
Services are limited to maintenance, accuracy checks and low-risk updates. Pixel Ninja does not provide marketing campaigns, lead generation, advertising or outcome-based services.
2. Third-party platforms (Google)
The client acknowledges that Google Business Profile and related services are operated by Google as a third-party platform.
Pixel Ninja:
Does not own, control or operate Google platforms
Does not guarantee availability, visibility, rankings or performance
Is not responsible for Google decisions, system changes, suspensions, outages or delays
Pixel Ninja’s role is limited to keeping information accurate and tidy where reasonably possible.
3. Updates and approvals
Pixel Ninja takes a conservative approach to updates and focuses on low-risk changes.
Low-risk updates may be made as part of ongoing upkeep
Any update identified as higher-risk will be flagged to the client
Higher-risk changes will only be made with the client’s approval
Pixel Ninja may recommend against making certain changes even if approved
The client remains responsible for final decisions relating to their Google Business Profile.
4. Client responsibilities
The client is responsible for:
Providing accurate and current business information
Promptly notifying Pixel Ninja of changes
Reviewing and approving changes where requested
Retaining ownership and access to their Google accounts
Pixel Ninja is not responsible for issues arising from inaccurate, incomplete or delayed information provided by the client.
5. No guarantees
Pixel Ninja does not guarantee:
Search rankings or visibility
Enquiry volume, bookings or revenue
Review volume or sentiment
Business performance outcomes
All services are provided on a best-efforts basis consistent with a hygiene-focused scope.
6. Limitation of liability
To the maximum extent permitted by law:
Pixel Ninja’s total liability arising out of or in connection with the services is limited to an amount equal to the fees paid by the client for the services in the four (4) months immediately preceding the event giving rise to the claim.
Pixel Ninja is not liable for any indirect, consequential or special loss, including loss of revenue, profit, goodwill or reputation.
Pixel Ninja is not liable for losses resulting from third-party platforms, including Google suspensions, outages or system changes.
The client acknowledges that the fees charged reflect the limited and hygiene-focused nature of the services, and that the liability cap is reasonable in light of this.
7. Termination
Either party may terminate the services by providing fourteen (14) days’ written notice.
Upon termination:
Pixel Ninja will cease updates and upkeep
No liability arises beyond the termination date
Outstanding fees remain payable
8. General
These terms constitute the entire agreement relating to the services. These terms are governed by New Zealand law.
